Terms of Use

1. Agreement to Terms

By accessing or using Graspee, you agree to these Terms of Use. If you do not agree, do not use the service. These terms are effective as of the date shown above.

2. Eligibility and Accounts

You must be at least 16 years old to use Graspee. If you create a cloud sync account, you are responsible for the accuracy of your account email and for the security of your devices and profile passwords. Graspee cannot recover encrypted data if you lose your profile password.

3. Description of Service

Graspee is an offline-first personal productivity application. Core features include notes, tasks, schedules, and financial tracking, all stored locally on your device. You may optionally enable cloud sync to synchronize encrypted data across devices, and optionally connect bank accounts through third-party providers. The service may be updated, modified, or discontinued at any time.

4. Acceptable Use

You agree not to use Graspee for any unlawful purpose, attempt to abuse, scrape, reverse-engineer, or interfere with the service or its infrastructure, engage in credential stuffing, automated attacks, or other security violations, attempt to bypass quotas, link limits, rate limits, or other security controls, or impersonate others or misrepresent your identity.

5. User Content

You retain full ownership of all content you create in Graspee. By enabling cloud sync, you grant Graspee only the limited, technical rights necessary to host and transmit your encrypted content for the purpose of synchronization. Graspee does not claim ownership of your notes, tasks, schedules, or financial records.

6. Third-Party Services

Graspee integrates with third-party services including Plaid and Flinks for optional bank account connections. These services are governed by their own terms and privacy policies. Your use of bank connections is voluntary. Graspee is not responsible for third-party service outages, data practices, or policy changes.

7. Financial and Productivity Disclaimer

Graspee is not a bank, broker, tax advisor, accountant, or financial advisor. Transaction data, categorization, balances, and sync status displayed in Graspee may be incomplete, delayed, or inaccurate. Reminders and scheduling features are provided as productivity aids only. You must verify critical financial and scheduling information independently and should not rely solely on Graspee for financial decisions.

8. Encryption and Recovery Limits

Graspee uses client-side encryption. If you lose your profile password or encryption keys, your encrypted data cannot be recovered by Graspee or anyone else. You are solely responsible for maintaining access to your credentials and for any backup or sync choices you make.

9. Termination or Suspension

We may suspend or terminate your access to Graspee if we reasonably believe you are violating these terms, posing a security risk, or if required for legal compliance or service shutdown. You may stop using Graspee at any time and delete your profiles and cloud data through the application settings.

10. Disclaimers

Graspee is provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or secure.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Graspee and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, or goodwill, arising from your use of or inability to use the service. Our total liability for any claim related to the service is limited to the amount you have paid us in the twelve months preceding the claim, if any.

12. Indemnification

You agree to indemnify and hold harmless Graspee and its operators from any claims, damages, or expenses arising from your violation of these terms or misuse of the service, to the extent permitted by applicable law.

13. Governing Law

These terms are governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. Any dispute arising under these terms shall be subject to the exclusive jurisdiction of the courts of the Province of Quebec.

14. Changes to These Terms

We may update these Terms of Use from time to time. The effective date at the top of this page indicates when the terms were last revised. Continued use of Graspee after changes constitutes acceptance of the updated terms.
